1. Introduction and Acceptance

These Terms of Use (hereinafter referred to as the "Terms") set forth the legally binding terms and conditions which govern the access to and use of the websites, mobile sites, mobile applications, products or services under the umbrella of "GenAny AI", an AI-powered image and video generation platform available at https://www.wangwuintelligence.com/ and on the Google Play Store and App Store (collectively referred to as the "Services") offered by Guangzhou Wanwu Intelligent Technology Co., Ltd. (hereinafter referred to as "Wangwu", "us", "our", or "we"). The terms "Customer", "you", "your" shall refer to any natural person or entity and its authorized users that subscribes to or uses the Services.

Certain features of the Services may be subject to additional guidelines, terms, or rules which are incorporated by reference into these Terms. By accessing or using the Services, you are accepting these Terms (on behalf of yourself or the entity/individual that you may represent) and you represent and warrant that you have the right, authority, and capacity to enter into these Terms. You may not access or use the Services or accept the Terms if you are not at least 13 (thirteen) years old. If you are under 18 (eighteen), you must have your parent or legal guardian's permission to use the Services. If Wangwu becomes aware that a Customer under 13 (thirteen) years of age has created an account, Wangwu shall be entitled to terminate such account.

Furthermore, it is agreed that any past or present claims relating to these Terms or the use of the Services shall be resolved through an informal dispute resolution process or through final and binding arbitration, as mentioned herein. If you do not agree with all of the provisions of these Terms, do not access and/or use the Services.

2. Customer Content, Output and AI Based Output

Customer Content: Shall mean any and all information and content (including but not limited to text, images, photos, videos, audio, and documents) that a Customer provides or makes available to Wangwu in connection with the use of the Services.

Output: Shall refer to the images, videos, or other content created, generated and returned by the Services based on the Customer Content or prompts. For the purposes of these Terms, any reference to Output includes AI Based Output (defined below).

AI Based Output: The Services use artificial intelligence to generate text, data, information, files, images, graphics, music, videos, and/or other similar materials, hereinafter referred to as "AI Based Output". Specific guidelines for AI Based Output are mentioned in Clause 8.

3. Changes to Terms

Wangwu reserves the right, at its sole discretion, to modify these Terms at any time ("Revised Terms"). Your continued use of the Services after the posting of Revised Terms constitutes your acceptance of such changes.

4. Account: Plans and Subscriptions

Account Creation: To use the Services, you must register for an account ("Account") and provide accurate information. You are responsible for maintaining the confidentiality and security of your Account.

Account Types: We may offer free accounts with limited functionality and various paid subscription plans ("Paid Subscriptions").

License to Output: Subject to these Terms, Wangwu grants you a worldwide, non-exclusive, royalty-free license to use, reproduce, and display the Output you generate for personal or commercial purposes, in accordance with our Acceptable Use Policy.

Restrictions: You shall not: (a) reverse engineer, hack, or disrupt the Services; (b) use the Services to build a competitive product; (c) use automated tools to exceed usage limits.

5. Ownership

All intellectual property rights in the Services are owned by Wangwu or its licensors. These Terms do not transfer any of these rights to you, except for the limited license to your Output as stated above.

6. Customer Content and Acceptable Use Policy

Your Responsibility: You are solely responsible for your Customer Content and the Output generated from it. You represent that your Customer Content does not violate our Acceptable Use Policy.

License to Wangwu: You grant Wangwu a license to use your Customer Content and Output to provide, improve, and develop the Services.

Acceptable Use Policy: You agree not to use the Services to create, upload, or distribute any Content that:

• Violates any third-party right, including intellectual property or privacy rights.
• Is unlawful, harassing, abusive, defamatory, obscene, or promotes hatred or violence.
• Is harmful to minors.
• Attempts to generate content that infringes on the name, image, or likeness of any person without their consent.
• Contains viruses, spam, or is used for unauthorized access.

Enforcement: We reserve the right to remove any Content, suspend, or terminate accounts that violate this policy.

7. Third-Party Services & Other Customers

The Services may contain links to or integrations with third-party websites, services, or content ("Third-Party Services"). We are not responsible for Third-Party Services. Your interactions with other Customers are solely between you and them.

8. AI Based Output Specific Terms

Suitability: AI Output may be unexpected, unsuitable, or non-unique. It may not be protectable by intellectual property rights.

No AI/ML Training: You must not use any Output to train, improve, or create any machine learning or artificial intelligence system.

Improving AI: You grant Wangwu the right to use your AI Based Output to improve our technologies and services.

Limitation on Liability: Wangwu is not liable for inaccuracies, errors, or potentially offensive content in AI Based Output resulting from the inherent nature of AI.

Disclosure: Where required by law, you must disclose that content was AI-generated in a manner that is clear and not misleading.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WANGWU'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICES EXCEED THE AMOUNT OF FIFTY US DOLLARS ($50). WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold Wangwu harmless from any claims, damages, or losses arising from: (a) your use of the Services; (b) your Customer Content or Output; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Payments, Renewals, and Refunds

Fees: Paid Subscriptions are billed in advance. You must provide a valid payment method.

Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date.

Cancellation: You may cancel at any time, with the cancellation taking effect at the end of the current billing period.

Refunds: Refund requests are considered at the company's sole discretion. Generally, refunds are only available within a limited period after purchase if no credits have been used. Credits are non-refundable and non-transferable.

13. Term and Termination

These Terms remain in effect until your Account is terminated. We may suspend or terminate your Account for violation of these Terms. You may terminate your Account at any time.

14. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by the laws of the People's Republic of China, without regard to its conflict of law principles.

Informal Resolution: The parties agree to first attempt to resolve any dispute informally.

Arbitration: Any unresolved dispute shall be finally settled by arbitration. The seat of arbitration shall be Guangzhou, China. The arbitration shall be conducted in Chinese.

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Wangwu.

Severability: If any provision is found unenforceable, the remaining provisions remain in full force.

Force Majeure: We are not liable for failures to perform due to causes beyond our reasonable control.
